Description:

The primary function of the Financial Planning Committee is to assist the Board of Directors in its oversight responsibilities related to the organization’s financial policies and strategy, including review of the annual operating budget. The Financial Planning Committee is a standing committee of the Board of Directors. The committee members are nominated by the President, other than the Treasurer, and appointed by vote of the ARMA International Board of Directors for a one year term. Multiple terms are allowed, and terms may be for up to three years. Members of the committee shall have the financial competency to understand financial statements, and make sound financial decisions. Each member of the committee shall be free of any relationship that, in the opinion of the Board, would interfere with his or her exercise of independent judgment.

The Financial Planning Committee will have the following responsibilities, and any other responsibilities reasonably related to its purposes or assigned by the Executive Committee or the Board from time to time:

  • Review and recommend for the Board’s approval the organization’s annual operating budget, including any material changes to the budget during the year.
  • Review and provide guidance to the Executive Committee, the Board and management about policies relating to the organization’s cash flow, cash management and working capital.
  • Review and recommend for the approval of the Executive Committee or the Board banking and similar financial relationships.
  • Review the organization’s annual tax returns.
  • Advise on other finance matters as appropriate, whether delegated by the Executive Committee, Board or submitted by the staff.
  • Report to the Executive Committee and the Board on Financial Planning Committee activities.
  • Review from time to time the Finance Planning Committee Charter and recommend any changes to the Board.
  • Evaluate the Finance Planning Committee’s own performance and make applicable recommendations.
